(“Broadli “, “we” or  “us”) when you use our website, mobile applications and other online products and services (collectively, the “Services“) or when you otherwise interact with us. This Privacy Policy does not apply to the practices of companies that we do not own or control, or to individuals that we do not employ or manage. We encourage you to read this Privacy Policy carefully before using the Services. By accessing the Services, you acknowledge and agree that you have read, fully accept, and will abide by this Privacy Policy.

We may also amend this Privacy Policy from time to time. If we make changes, we will notify you by revising the date at the top of the policy. We encourage you to review the Privacy Policy whenever you access the Services to stay informed about our information practices and the ways you can help protect your privacy Your continued use of the Services after such amendment constitutes your acceptance of the Privacy Policy as amended. (Any capitalized terms used herein without definition shall have the meaning given to them in the Broadli Terms of Use.)

Information We Collect

We collect information you provide directly to us. For example, we collect information when you create an account, use the Services to sort your network, enter or respond to missions, request customer support or otherwise communicate with us. The types of information we may collect include (without limitation) your name, email address, unique LinkedIn ID, LinkedIn profile information, LinkedIn contacts and any other information you choose to provide.

Information We Collect Automatically When You Use the Services

When you access or use our Services, we automatically collect certain information about you, including:

Usage Information: When you provide, receive or accept recommendations, make introductions or sort your network, we collect information about these interactions.

Log Information: We log information about your use of our website, including your browser type and language, access times, pages viewed, your IP address and the website you visited before navigating to our websites.

Device Information: We may collect information about the computer or device you use to access our Services, including the hardware model, operating system and version, unique device identifier and phone number. In addition, the Services may access your device’s native phonebook, with your consent, to facilitate your use of certain features of the Services. For more information about how you can control our access to these applications, please see “Your Choices” below.

Information Collected by Cookies and Other Tracking Technologies: We use various technologies to collect information, and this may include sending cookies to you. Cookies are small data files stored on your hard drive or in device memory that help us to improve our Services and your experience, see which areas and features of our Services are popular and count visits. We may also collect information using web beacons (also known as “tracking pixels”). For more information about cookies, and how to disable them, please see “Your Choices” below.

Information Collected By or From Other Sources

We may also obtain information from other sources and combine that with information we collect through our Services.

Third-Party Account Information: Our Services incorporate content from Third-Party Websites, such as LinkedIn. In order to connect your account on Broadli to your accounts and contacts on those services (“Third-Party Accounts”), we may ask you for account information for those services. If you provide your Third-Party Account credentials to us, you understand that content and/or information in those accounts may be transmitted into your account with us, and that transmitted Third-Party Account information is covered by this Privacy Policy. We don’t actually store your passwords for those Third-Party Accounts. Instead, we just use an authentication token to verify your user name.

Information about others: When you link a Third-Party Account to your Broadli account (by signing in using your Third-Party Account information or otherwise), we may collect and store available personal information about your contacts and friends available from those Third-Party Websites. This information may include their photo, name, email address, and interests or other content you have access to when you access their profiles on those Third-Party Websites. You may also be able to invite other users to the Services by providing us with their personal information.

Information Collected by Third Parties: Third-Party Websites to which you choose to link your Broadli account may also collect information that we are not aware of. You should consult their applicable terms of service and privacy policies for more information on their data collection practices.

Use of Information

Network Sorting: We will not notify any member of your network regarding when you have sorted your network or how you have categorized that member.

Your email address: We will use your email address to send you recommendations provided by your network in response to missions you post. We will also use your email address to alert you when a recommendation you have made has been accepted or if further action is needed to connect the recommended person to the person who posted the mission to which you responded. In the case of an accepted recommendation, the notification will disclose your email address to the contact you recommended and the person to whom you provided the recommendation.

General: We may use information about you for various purposes, including to:

  • Provide, maintain and improve our Services;
  • Provide and deliver the products and services you request, process transactions and send you related information;
  • Respond to your comments, questions and requests and provide customer service;
  • Send you technical notices, updates, security alerts, and support and administrative messages;
  • Communicate with you about products, services, offers, promotions, rewards, and events offered by Broadli and others, and provide news and information we think will be of interest to you;
  • Monitor and analyze trends, usage and activities in connection with our Services;
  • Personalize and improve the Services and provide advertisements, content or features that match user profiles or interests;
  • Link or combine with information we get from others to help understand your needs and provide you with better service;
  • Detect, investigate and/or prevent fraudulent, unauthorized or illegal activity; and
  • Carry out any other purpose for which the information was collected.

Broadli is based in the United States and U.S. law governs the information we collect. By accessing or using the Services or otherwise providing information to us, you consent to the processing and transfer of information in and to the U.S. and other countries.

Sharing of Information

We may share information about you as follows or as otherwise described in this Privacy Policy:

  • With other users when they sort their network or when you add missions or send them recommendations, including your name, general location and title (or professional description);
  • With other users when they invite you to join their Broadli network;
  • With users and others who view your Broadli profile, which includes your name, general location and title (or professional description), and “Impact Score” (as determined by Broadli’s algorithm);
  • With vendors, consultants and other service providers who need access to such information to carry out work on our behalf;
  • In response to legal process or a request for information if we believe disclosure is in accordance with any applicable law, rule, or regulation, or as otherwise required by any applicable law, rule or regulation;
  • In order to enforce or apply (or investigate or remedy potential violations of) our user agreements or policies, or to protect the rights, property and safety of Broadli, our employees, our users or others;
  • In connection with, or during negotiations of, any merger, sale of company assets, financing or acquisition of all or a portion of our business; and
  • With your consent or at your direction.

We may also share aggregated information that cannot reasonably be used to identify you.

Analytics Services Provided by Others

We may allow others to provide analytics services on our behalf. These entities may use cookies, web beacons and other technologies to collect information about your use of the Services and other websites, including your device information, IP address, web browser, pages viewed, time spent on pages, links clicked and conversion information. This information may be used to, among other things, analyze and track data, determine the popularity of certain content, better understand your online activity and improve the Services.

Security

We take reasonable measures to help protect information about you from loss, theft, misuse and unauthorized access, disclosure, alteration and destruction. However, no system can be completely secure. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time. Therefore, although we take steps to secure your information, we do not promise, and you should not expect, that your personal information will always remain secure. Users should also be careful with how they handle and disclose their personal information and should avoid sending personal information through insecure email.

Your Choices

Account Information:  Broadli uses Third-Party Account information such as LinkedIn profiles. You may update or correct information in your LinkedIn profile by launching the LinkedIn application and editing your profile information there. If Broadli enables user access to Broadli profiles, you may update or correct Broadli-specific information about yourself by launching the Broadli application and editing your Broadli profile information. If you wish to delete your account, please contact help@broadli.com, but note that we may still retain certain information associated with your account for analytical purposes and recordkeeping integrity, as well as to prevent fraud, enforce our terms and conditions, take actions we deem necessary to protect the integrity of the Services or our users, or take other actions otherwise permitted by law. Further, because of the complexities of the technology involved, we cannot guarantee total or irrevocable deletion of your account information, and we cannot provide you with any specific timelines for deletion. We may also retain cached or archived copies of information about you for a certain period of time.

Device Information: The feature of the Services that permits you to invite friends to join your Broadli network requires access to your device’s native phonebook. If you choose to invite friends, the email addresses in your device’s native phonebook will be transmitted to Broadli. By using this invitation feature you grant Broadli permission to access your device’s phonebook. On iOS devices, you can grant or revoke your consent at any time and prevent us from continuing to access your phonebook by changing the settings on your device.

Cookies: Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove or reject browser cookies. Please note that if you choose to remove or reject cookies, this could affect the availability and functionality of our website.

Push Notifications/Alerts/Emails: Broadli may send push notifications or alerts to your device. You can deactivate these messages at any time by changing the notification settings on your iOS device. Broadli may also send email notifications to you when others provide or accept recommendations relating to you. You may unsubscribe from these emails by using the “unsubscribe” link in any notification email from Broadli.

Children’s Privacy

We do not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow such persons to register for the Service.

Broadli Inc. Terms of Use

Please read these Terms of Use (“Terms”) carefully. By downloading, accessing or using the mobile application, website, email notifications or other products or services (collectively, the “Services”) of Broadli Inc. (“Broadli”, “we” or “us”), you agree to be bound by these Terms, which also incorporate Broadli’s Privacy Policy. If you do not agree to these Terms, do not use the Services.

We may change or modify these Terms at any time and in our sole discretion. If we make changes to these Terms, we will provide notice of such changes (for example, by sending a notification, posting a notice on the Services or updating the “Last Updated” date above). Your continued use of the Services will confirm your acceptance of the revised Terms. We encourage you to review the Terms frequently to ensure you understand the terms and conditions that apply to your use of the Services. If you do not agree to the amended Terms, you must stop using the Services and delete your Broadli account.

This section is about who can use Broadli.

You Must Be at Least 13 to Use the Services.

Broadli is intended for use by people who are 13 years of age or older, and persons under the age of 13 are prohibited from creating Broadli accounts. If you do use the Services, you’re representing and warranting (in other words, you’re promising to us) that you are 13 years of age or older and that you have the right, authority and capacity (with legal parental or guardian consent) to enter agree to and abide by these Terms. In addition, you affirm that you have not been previously suspended or removed from the Services and do not have more than one Broadli account.

We may, in our sole discretion, refuse to offer the Services to any person or entity. We may, without notice and in our sole discretion, terminate your right to use the Services, or any portion of thereof, and block or prevent your future access to and use of the Services or any portion thereof.

You Must Provide Accurate Registration Information

All registration information you submit must be accurate and truthful and you agree to maintain the accuracy of such information. You agree that you will not do any of the following:

Create any account for anyone other than yourself without that person’s permission;
Use a User Name that is the name of another person with the intent to impersonate that person;
Use a User Name or Broadli account that is subject to any rights of anyone other than you without appropriate authorization; or
Use a User Name that is a name that is in any way offensive, vulgar or obscene or otherwise unlawful.
Void Where Prohibited

When you use the Services, you are responsible for ensuring that your use complies with all laws, rules and regulations applicable to you. These Terms are void and use of the Services is not permitted where such use is prohibited.

This section is about third-party resources

Third-Party Account Information

The Services couldn’t work if we weren’t able to access some of your and your friends’ profile information from your third-party accounts (for example, LinkedIn) (“Third-Party Accounts”). By signing into the Services through or linking your Broadli account to any Third-Party Account, you permit us to access and aggregate certain information from your profiles and profiles of individuals you are connected with on such sites for use by the Services. When you use the Services, you are authorizing us to collect, store, and use, in accordance with our Privacy Policy, any information that you permit the websites related to your Third-Party Accounts (“Third-Party Websites”) to provide to us and to access tokens made available by those Third-Party Websites.

Third-Party Websites

As noted above, the Services contain links to Third-Party Websites that are not owned or controlled by Broadli. When you access Third-Party Websites, you do so at your own risk. You hereby represent and warrant (i.e., you promise) that you have read and agree to be bound by all applicable policies of any Third-Party Websites and that you will act in accordance with those policies, in addition to your obligations under these Terms. Broadli has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of any Third-Party Websites. In addition, Broadli will not and cannot monitor, verify, censor or edit the content of any Third-Party Website. Any information contained in the content or data from a Third-Party Website may be inaccurate or misleading and should not be relied upon. This content and data may become temporarily or permanently unavailable and/or may be subject to change without notice. By using the Services, you expressly release and hold harmless Broadli from any and all liability arising from your use of any Third-Party Website.

This section is about data we collect.

By using the Broadli application or website you agree to let Broadli collect information about your usage of the application or website. You also agree to let Broadli collect certain types of information from and about your device. For example, if you choose to use our “Invite Friends” feature, you agree to let Broadli access the address book on your device and upload data to its servers to sync your contacts and invite your friends to become Broadli users. For more information about the information we collect from you and your device and Broadli’s privacy practices, please review our Privacy Policy.

This section is about content you create.

The Services consist of interactive features and areas that allow users to create, post, transmit and/or store content, including but not limited to text, photos, videos, graphics, items or other materials (collectively, “User Content”). You understand that your User Content may be viewable by others.

You agree that you are solely responsible for your User Content and that Broadli is not responsible or liable for any User Content. While we are not obligated to do so, we reserve the right, and have absolute discretion, to review, screen and delete User Content at any time and for any reason.

You retain all ownership rights in your User Content. However, by submitting User Content to Broadli, you hereby grant us a nonexclusive, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, modify, adapt, publish, create derivative works from, distribute, perform and display such User Content in connection with the Services.

This section is about content we create.

Unless otherwise stated, all materials contained on or within the Services, including, but not limited to, text, graphics, images, code, illustrations, designs, icons, photographs, video clips, and written and other materials (collectively, “Broadli Content”), as well as their selection and arrangement, are protected by copyright, trademark, trade dress, patent, and/or other intellectual property laws, and unauthorized use of Broadli Content may violate such laws and these Terms. Except as expressly provided in these Terms, Broadli does not grant any express or implied rights to use Broadli Content. You agree that you will not copy, reproduce, republish, frame, download, transmit, modify, display, reverse engineer, sell, or participate in any sale of, rent, lease, loan, assign, distribute, license, sublicense, or exploit in any way, in whole or in part, Broadli Content, the Services or any related software, except as expressly stated in these Terms.

You are hereby granted a limited, nonexclusive, non-sublicensable license to access and use the Services and Broadli Content. This license is revocable at any time. This license is subject to these Terms and does not include:

The distribution, public performance or public display of Broadli Content;
Modifying or otherwise making any derivative uses of the Services or Broadli Content, or any portion thereof;
Use of any scraping, data mining, robots or similar data gathering or extraction methods;
Downloading (other than page caching) any portion of the Services, Broadli Content or any information contained therein, except as expressly permitted on the Services;
Accessing the Broadli API with an unauthorized or third-party client; and
Any use of the Services or Broadli Content other than for their intended purposes.
Any use of the Services or Broadli Content other than as specifically authorized in these Terms, without the prior written permission of Broadli, is strictly prohibited and will terminate the license to use Broadli granted in these Terms.

This section is about some things you can’t do as a Broadli user.

In addition to the other restrictions outlined in these Terms, you agree that you will not:

Use the Services for any purpose that is illegal, beyond the scope of their intended use, or otherwise prohibited in these Terms;
Use the Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden or impair the functioning of the Services in any manner;
Compromise the security of the Services;
Send any unsolicited or unauthorized advertising, spam, solicitations or promotional materials;
Use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Services or to extract data;
Reverse engineer any aspect of the Services or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any area, content or code of the Services;
Use or attempt to use another user’s account without authorization;
Attempt to circumvent any content filtering techniques we employ, or attempt to access areas/features of the Services that you are not authorized to access;
Attempt to indicate in any manner that you have a relationship with us or that we have endorsed you or any products or services without our express written consent to do so;
Engage in any harassing, intimidating, predatory or stalking conduct;
Develop any third-party applications that interact with User Content or the Services without our prior written consent; and
Use the Services for any illegal or unauthorized purpose or engage in, encourage, or promote any activity that violates these Terms.
You further agree to abide by any third-party terms that apply when posting reviews of Broadli, including the iTunes App Store Terms of Service and/or the Android Market Terms of Service.

This section is about account security.

After opening a Broadli account, you accept all responsibility for any activity that occurs via your account. You are responsible for making sure that you keep your password secure and safe. You agree that you will not share your password with others or do anything that might jeopardize the security of your account.

This section is about the possibility that we may change the Services in the future.

We reserve the right to modify or discontinue, temporarily or permanently, the Services or any features or portions thereof without prior notice. You agree that we will not be liable for any modification, suspension or discontinuance of the Services or any part thereof.

Disclaimer

THE SERVICES AND THE BROADLI CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. IN ADDITION, WHILE BROADLI ATTEMPTS TO PROVIDE A GOOD USER EXPERIENCE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL ALWAYS BE SECURE OR ERROR-FREE OR THAT THE SERVICES WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS OR IMPERFECTIONS.

Note to International Users

The Services are hosted in the United States. If you are a user accessing the Services from the European Union, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure, that differ from United States laws, please be advised that through your continued use of the Services, which are governed by U.S. law, you are transferring your personal information to the United States and you consent to that transfer.

Indemnification

By agreeing to these Terms you agree to indemnify, defend and hold harmless Broadli, our shareholders, officers, directors, employees, affiliates, licensors and suppliers (the “Broadli Parties”) from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to (a) your use of the Services; (b) any User Content you post, upload, use, distribute, store or otherwise transmit through the Services; (c) your violation of these Terms; or (d) your violation of the rights of another.

Limitation of Liability

Except where prohibited by law, in no event will Broadli or the Broadli Parties be liable for any indirect, special, punitive, incidental, exemplary or consequential damages that result from (a) the use of, or inability to use, the Services; (b) the provision of the Services or any materials available therein; or (c) the conduct of other users of the Services, even if Broadli has been advised of the possibility of such damages. You assume total responsibility for your use of the Services. Your only remedy against Broadli for dissatisfaction with the Services or any content is to stop using the Services. If, notwithstanding these Terms, Broadli is found liable to you for any damage or loss that arises out of or is in any way connected with your use of the Services or any content, Broadli’s liability shall in no event exceed $1.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Applicable Law

A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and Broadli agree that any cause of action arising out of or related to the Services must commence within one year after the cause of action arose; otherwise, such cause of action is permanently barred.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction, and the United States of America. For all purposes of these Terms of Use, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts or state courts located in the Southern District of New York. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation, this section.

Severability

If any provision of these Terms is deemed by a court to be unlawful, void or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

Complete Agreement

These Terms supersede all prior understandings regarding the same and represent the complete agreement between you and Broadli.

  • With other users when they sort their network or when you add missions or send them recommendations, including your name, general location and title (or professional description);
  • With other users when they invite you to join their Broadli network;
  • With users and others who view your Broadli profile, which includes your name, general location and title (or professional description), and “Impact Score” (as determined by Broadli’s algorithm);
  • With vendors, consultants and other service providers who need access to such information to carry out work on our behalf;
  • In response to legal process or a request for information if we believe disclosure is in accordance with any applicable law, rule, or regulation, or as otherwise required by any applicable law, rule or regulation;
  • In order to enforce or apply (or investigate or remedy potential violations of) our user agreements or policies, or to protect the rights, property and safety of Broadli, our employees, our users or others;
  • In connection with, or during negotiations of, any merger, sale of company assets, financing or acquisition of all or a portion of our business; and
  • With your consent or at your direction.

We may also share aggregated information that cannot reasonably be used to identify you.

Analytics Services Provided by Others

We may allow others to provide analytics services on our behalf. These entities may use cookies, web beacons and other technologies to collect information about your use of the Services and other websites, including your device information, IP address, web browser, pages viewed, time spent on pages, links clicked and conversion information. This information may be used to, among other things, analyze and track data, determine the popularity of certain content, better understand your online activity and improve the Services.

Security

We take reasonable measures to help protect information about you from loss, theft, misuse and unauthorized access, disclosure, alteration and destruction. However, no system can be completely secure. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time. Therefore, although we take steps to secure your information, we do not promise, and you should not expect, that your personal information will always remain secure. Users should also be careful with how they handle and disclose their personal information and should avoid sending personal information through insecure email.

Your Choices

Account Information:  Broadli uses Third-Party Account information such as LinkedIn profiles. You may update or correct information in your LinkedIn profile by launching the LinkedIn application and editing your profile information there. If Broadli enables user access to Broadli profiles, you may update or correct Broadli-specific information about yourself by launching the Broadli application and editing your Broadli profile information. If you wish to delete your account, please contact help@broadli.com, but note that we may still retain certain information associated with your account for analytical purposes and recordkeeping integrity, as well as to prevent fraud, enforce our terms and conditions, take actions we deem necessary to protect the integrity of the Services or our users, or take other actions otherwise permitted by law. Further, because of the complexities of the technology involved, we cannot guarantee total or irrevocable deletion of your account information, and we cannot provide you with any specific timelines for deletion. We may also retain cached or archived copies of information about you for a certain period of time.

Device Information: The feature of the Services that permits you to invite friends to join your Broadli network requires access to your device’s native phonebook. If you choose to invite friends, the email addresses in your device’s native phonebook will be transmitted to Broadli. By using this invitation feature you grant Broadli permission to access your device’s phonebook. On iOS devices, you can grant or revoke your consent at any time and prevent us from continuing to access your phonebook by changing the settings on your device.

Cookies: Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove or reject browser cookies. Please note that if you choose to remove or reject cookies, this could affect the availability and functionality of our website.

Push Notifications/Alerts/Emails: Broadli may send push notifications or alerts to your device. You can deactivate these messages at any time by changing the notification settings on your iOS device. Broadli may also send email notifications to you when others provide or accept recommendations relating to you. You may unsubscribe from these emails by using the “unsubscribe” link in any notification email from Broadli.

Children’s Privacy

We do not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow such persons to register for the Service.

Broadli Inc. Terms of Use

Please read these Terms of Use (“Terms”) carefully. By downloading, accessing or using the mobile application, website, email notifications or other products or services (collectively, the “Services”) of Broadli Inc. (“Broadli”, “we” or “us”), you agree to be bound by these Terms, which also incorporate Broadli’s Privacy Policy. If you do not agree to these Terms, do not use the Services.

We may change or modify these Terms at any time and in our sole discretion. If we make changes to these Terms, we will provide notice of such changes (for example, by sending a notification, posting a notice on the Services or updating the “Last Updated” date above). Your continued use of the Services will confirm your acceptance of the revised Terms. We encourage you to review the Terms frequently to ensure you understand the terms and conditions that apply to your use of the Services. If you do not agree to the amended Terms, you must stop using the Services and delete your Broadli account.

This section is about who can use Broadli.

You Must Be at Least 13 to Use the Services.

Broadli is intended for use by people who are 13 years of age or older, and persons under the age of 13 are prohibited from creating Broadli accounts. If you do use the Services, you’re representing and warranting (in other words, you’re promising to us) that you are 13 years of age or older and that you have the right, authority and capacity (with legal parental or guardian consent) to enter agree to and abide by these Terms. In addition, you affirm that you have not been previously suspended or removed from the Services and do not have more than one Broadli account.

We may, in our sole discretion, refuse to offer the Services to any person or entity. We may, without notice and in our sole discretion, terminate your right to use the Services, or any portion of thereof, and block or prevent your future access to and use of the Services or any portion thereof.

You Must Provide Accurate Registration Information

All registration information you submit must be accurate and truthful and you agree to maintain the accuracy of such information. You agree that you will not do any of the following:

Create any account for anyone other than yourself without that person’s permission;
Use a User Name that is the name of another person with the intent to impersonate that person;
Use a User Name or Broadli account that is subject to any rights of anyone other than you without appropriate authorization; or
Use a User Name that is a name that is in any way offensive, vulgar or obscene or otherwise unlawful.
Void Where Prohibited

When you use the Services, you are responsible for ensuring that your use complies with all laws, rules and regulations applicable to you. These Terms are void and use of the Services is not permitted where such use is prohibited.

This section is about third-party resources

Third-Party Account Information

The Services couldn’t work if we weren’t able to access some of your and your friends’ profile information from your third-party accounts (for example, LinkedIn) (“Third-Party Accounts”). By signing into the Services through or linking your Broadli account to any Third-Party Account, you permit us to access and aggregate certain information from your profiles and profiles of individuals you are connected with on such sites for use by the Services. When you use the Services, you are authorizing us to collect, store, and use, in accordance with our Privacy Policy, any information that you permit the websites related to your Third-Party Accounts (“Third-Party Websites”) to provide to us and to access tokens made available by those Third-Party Websites.

Third-Party Websites

As noted above, the Services contain links to Third-Party Websites that are not owned or controlled by Broadli. When you access Third-Party Websites, you do so at your own risk. You hereby represent and warrant (i.e., you promise) that you have read and agree to be bound by all applicable policies of any Third-Party Websites and that you will act in accordance with those policies, in addition to your obligations under these Terms. Broadli has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of any Third-Party Websites. In addition, Broadli will not and cannot monitor, verify, censor or edit the content of any Third-Party Website. Any information contained in the content or data from a Third-Party Website may be inaccurate or misleading and should not be relied upon. This content and data may become temporarily or permanently unavailable and/or may be subject to change without notice. By using the Services, you expressly release and hold harmless Broadli from any and all liability arising from your use of any Third-Party Website.

This section is about data we collect.

By using the Broadli application or website you agree to let Broadli collect information about your usage of the application or website. You also agree to let Broadli collect certain types of information from and about your device. For example, if you choose to use our “Invite Friends” feature, you agree to let Broadli access the address book on your device and upload data to its servers to sync your contacts and invite your friends to become Broadli users. For more information about the information we collect from you and your device and Broadli’s privacy practices, please review our Privacy Policy.

This section is about content you create.

The Services consist of interactive features and areas that allow users to create, post, transmit and/or store content, including but not limited to text, photos, videos, graphics, items or other materials (collectively, “User Content”). You understand that your User Content may be viewable by others.

You agree that you are solely responsible for your User Content and that Broadli is not responsible or liable for any User Content. While we are not obligated to do so, we reserve the right, and have absolute discretion, to review, screen and delete User Content at any time and for any reason.

You retain all ownership rights in your User Content. However, by submitting User Content to Broadli, you hereby grant us a nonexclusive, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, modify, adapt, publish, create derivative works from, distribute, perform and display such User Content in connection with the Services.

This section is about content we create.

Unless otherwise stated, all materials contained on or within the Services, including, but not limited to, text, graphics, images, code, illustrations, designs, icons, photographs, video clips, and written and other materials (collectively, “Broadli Content”), as well as their selection and arrangement, are protected by copyright, trademark, trade dress, patent, and/or other intellectual property laws, and unauthorized use of Broadli Content may violate such laws and these Terms. Except as expressly provided in these Terms, Broadli does not grant any express or implied rights to use Broadli Content. You agree that you will not copy, reproduce, republish, frame, download, transmit, modify, display, reverse engineer, sell, or participate in any sale of, rent, lease, loan, assign, distribute, license, sublicense, or exploit in any way, in whole or in part, Broadli Content, the Services or any related software, except as expressly stated in these Terms.

You are hereby granted a limited, nonexclusive, non-sublicensable license to access and use the Services and Broadli Content. This license is revocable at any time. This license is subject to these Terms and does not include:

The distribution, public performance or public display of Broadli Content;
Modifying or otherwise making any derivative uses of the Services or Broadli Content, or any portion thereof;
Use of any scraping, data mining, robots or similar data gathering or extraction methods;
Downloading (other than page caching) any portion of the Services, Broadli Content or any information contained therein, except as expressly permitted on the Services;
Accessing the Broadli API with an unauthorized or third-party client; and
Any use of the Services or Broadli Content other than for their intended purposes.
Any use of the Services or Broadli Content other than as specifically authorized in these Terms, without the prior written permission of Broadli, is strictly prohibited and will terminate the license to use Broadli granted in these Terms.

This section is about some things you can’t do as a Broadli user.

In addition to the other restrictions outlined in these Terms, you agree that you will not:

Use the Services for any purpose that is illegal, beyond the scope of their intended use, or otherwise prohibited in these Terms;
Use the Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Services, or that could damage, disable, overburden or impair the functioning of the Services in any manner;
Compromise the security of the Services;
Send any unsolicited or unauthorized advertising, spam, solicitations or promotional materials;
Use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Services or to extract data;
Reverse engineer any aspect of the Services or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any area, content or code of the Services;
Use or attempt to use another user’s account without authorization;
Attempt to circumvent any content filtering techniques we employ, or attempt to access areas/features of the Services that you are not authorized to access;
Attempt to indicate in any manner that you have a relationship with us or that we have endorsed you or any products or services without our express written consent to do so;
Engage in any harassing, intimidating, predatory or stalking conduct;
Develop any third-party applications that interact with User Content or the Services without our prior written consent; and
Use the Services for any illegal or unauthorized purpose or engage in, encourage, or promote any activity that violates these Terms.
You further agree to abide by any third-party terms that apply when posting reviews of Broadli, including the iTunes App Store Terms of Service and/or the Android Market Terms of Service.

This section is about account security.

After opening a Broadli account, you accept all responsibility for any activity that occurs via your account. You are responsible for making sure that you keep your password secure and safe. You agree that you will not share your password with others or do anything that might jeopardize the security of your account.

This section is about the possibility that we may change the Services in the future.

We reserve the right to modify or discontinue, temporarily or permanently, the Services or any features or portions thereof without prior notice. You agree that we will not be liable for any modification, suspension or discontinuance of the Services or any part thereof.

Disclaimer

THE SERVICES AND THE BROADLI CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. IN ADDITION, WHILE BROADLI ATTEMPTS TO PROVIDE A GOOD USER EXPERIENCE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL ALWAYS BE SECURE OR ERROR-FREE OR THAT THE SERVICES WILL ALWAYS FUNCTION WITHOUT DELAYS, DISRUPTIONS OR IMPERFECTIONS.

Note to International Users

The Services are hosted in the United States. If you are a user accessing the Services from the European Union, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure, that differ from United States laws, please be advised that through your continued use of the Services, which are governed by U.S. law, you are transferring your personal information to the United States and you consent to that transfer.

Indemnification

By agreeing to these Terms you agree to indemnify, defend and hold harmless Broadli, our shareholders, officers, directors, employees, affiliates, licensors and suppliers (the “Broadli Parties”) from and against any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys’ fees) due to, arising out of, or relating in any way to (a) your use of the Services; (b) any User Content you post, upload, use, distribute, store or otherwise transmit through the Services; (c) your violation of these Terms; or (d) your violation of the rights of another.

Limitation of Liability

Except where prohibited by law, in no event will Broadli or the Broadli Parties be liable for any indirect, special, punitive, incidental, exemplary or consequential damages that result from (a) the use of, or inability to use, the Services; (b) the provision of the Services or any materials available therein; or (c) the conduct of other users of the Services, even if Broadli has been advised of the possibility of such damages. You assume total responsibility for your use of the Services. Your only remedy against Broadli for dissatisfaction with the Services or any content is to stop using the Services. If, notwithstanding these Terms, Broadli is found liable to you for any damage or loss that arises out of or is in any way connected with your use of the Services or any content, Broadli’s liability shall in no event exceed $1.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Applicable Law

A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and Broadli agree that any cause of action arising out of or related to the Services must commence within one year after the cause of action arose; otherwise, such cause of action is permanently barred.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction, and the United States of America. For all purposes of these Terms of Use, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts or state courts located in the Southern District of New York. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation, this section.

Severability

If any provision of these Terms is deemed by a court to be unlawful, void or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

Complete Agreement

These Terms supersede all prior understandings regarding the same and represent the complete agreement between you and Broadli.
